GENERAL TERMS & CONDITIONS OF QUOTATION & SALE
1. Scope
These General Terms and Conditions shall govern all quotations, sales, and deliveries made by Project Nation (“the Seller”) to the Purchaser, unless otherwise expressly agreed in writing.
2. Quotations and Acceptance
Quotations issued by the Seller are valid for thirty (30) days from the date of issuance, unless stated otherwise. No quotation shall be binding unless and until accepted by the Purchaser and confirmed in writing by the Seller.
3. Prices
Unless otherwise stated, all prices quoted are exclusive of GST, duties, and other taxes. Prices are subject to change without prior notice due to any fluctuation in material or labour costs.
4. Currency of Payment
Unless otherwise expressly stated in the quotation or agreed in writing:
- For domestic sales, prices are deemed to be in Indian Rupees (INR).
- For export sales, prices are deemed to be in US Dollars (USD).
5. Terms of Payment
Payment terms shall be strictly as specified in the quotation. Delay in payment shall attract interest at the rate of 18% per annum or the maximum rate permitted by law, whichever is lower.
6. Delivery
Delivery dates are estimates only and are not binding unless specifically agreed in writing.
The Seller shall not be liable for any delay or failure in delivery due to Force Majeure events.
7. Force Majeure
The Seller shall not be liable for any failure to perform its obligations where such failure is due to circumstances beyond its reasonable control, including but not limited to acts of God, war, riots, labour disputes, shortages of materials, and governmental actions.
8. Warranty and Warranty Period
The Seller warrants that the goods supplied shall conform to the agreed specifications and shall be free from material defects for a period of twelve (12) months from the date of dispatch.
Any warranty claim must be notified in writing within this period.
No warranty claims shall be accepted after expiry of the warranty period. The Seller’s liability shall be limited to repair or replacement of the defective goods at its sole discretion.
9. Limitation of Liability
Except as expressly provided in these Terms, under no circumstances shall Project Nation be liable to the Purchaser for any loss of profit, loss of business, or any indirect, incidental, or consequential damages.
The total liability of Project Nation for any claim, whether in contract, tort, or otherwise, shall not exceed the price paid by the Purchaser for the specific goods giving rise to the claim.
10. Returns and Cancellations
No goods may be returned or orders cancelled without the prior written consent of the Seller. Unauthorized returns will not be accepted for credit.
11. Intellectual Property
All drawings, specifications, and documents supplied by the Seller shall remain the property of the Seller and shall not be disclosed to any third party without prior written consent.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India.
The courts situated in Pune, Maharashtra shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms and Conditions.
